ATOM Group and Rogelio Archilla, professionally known as Don Perry, have formally agreed to establish a new U.S.-based distribution business following the signing of term sheet outlining the framework for a strategic joint venture.

The agreement provides for the formation of ATOM Distribution, a dedicated business unit focused on the promotion, commercialization, and distribution of talent-driven content and related media assets within the United States. The venture reflects a structured response to the increasing convergence of talent, digital media, and platform-based monetization.

ATOM Distribution will be incorporated as a Delaware entity, with ATOM Group retaining a majority ownership position and operational control. Governance will be managed through a four-member Board of Directors, a structure designed to ensure oversight while maintaining operational efficiency. A management incentive pool has been established to support future executive hires and long-term growth objectives.

Rather than positioning ATOM Distribution as a traditional talent agency or production studio, the venture has been structured as a focused commercial channel. Its mandate is to align curated talent networks with scalable distribution infrastructure, enabling content and media projects to move from development to market through a centralized execution framework.

ATOM Group will contribute its proprietary platform infrastructure, technology, and operational execution through its digital ecosystems, including JGGL and Arteki. These platforms support content creation, planning, distribution, and monetization across music, video, imagery, animation, and immersive media formats.

Don Perry will contribute exclusive access to his talent roster, creative projects, and international business network. With decades of experience across the U.S. and global entertainment industries, Perry is widely recognized for his behind-the-scenes role in rights management, talent promotion, and strategic deal-making.

Commenting on the joint venture, Dmitry Saksonov, Founding Partner at ATOM Group, stated that ATOM Distribution represents a wide range of ATOM Group’s media business and content production initiatives, including JGGL and Arteki. He noted that combining platform technology with a trusted talent network creates a focused vehicle designed for long-term value creation in the U.S. market.

Perry described the agreement as the formalization of a shared vision centered on structured growth, transparency, and execution. He emphasized that ATOM Group brings platform depth and operational capability, while the partnership creates a clear pathway for talent-driven projects to reach the market efficiently.

Initial operations for ATOM Distribution will focus on the United States, with the framework allowing for potential expansion into additional international markets as the business develops. The final structure and operations of the joint venture remain subject to the execution of definitive agreements.

Jordan Budd, who supports Don Perry across strategic initiatives and deal execution, played a key role in facilitating the partnership and will continue to provide operational coordination as the venture moves into its execution phase.

As entertainment and digital media businesses continue to evolve, the formation of ATOM Distribution reflects a growing shift toward institutionalized distribution models that combine talent, technology, and governance under unified commercial structures.
